Seeland USA Inc., doing business as Smart Building Solutions

Last Updated: October 15, 2026

1. About Us and Acceptance of These Terms

This website, smartbuildingsolutions.us (the “Site”), and our showroom are operated by Seeland USA Inc., doing business as Smart Building Solutions (“Smart Building Solutions,” “Seller,” “we,” “us,” or “our”). These Terms of Service and Conditions of Sale (the “Terms”) govern (a) your use of the Site and (b) every purchase of products or services from us, whether made online, by phone, by email, by quote, or in our showroom.

By using the Site, placing an order, accepting a quote, or paying for products or services, you (“you,” “your,” or “Buyer”) agree to these Terms. If you are placing an order on behalf of a company or other organization, you confirm that you are authorized to bind it, and “Buyer” includes that organization. If you do not agree to these Terms, do not use the Site or purchase from us.

PLEASE READ SECTION 26 CAREFULLY. IT INCLUDES A WAIVER OF JURY TRIAL AND REQUIRES DISPUTES TO BE BROUGHT IN CLARK COUNTY, NEVADA.

2. Other Policies That Are Part of These Terms

The following policies are incorporated into these Terms by reference: our Shipping Policy, our Refund & Return Policy, and our Privacy Policy, each as posted on the Site. If there is a conflict between these Terms and another policy, these Terms control unless the other policy expressly says otherwise.

3. Eligibility and Accounts

You must be at least 18 years old (or the age of majority where you live) to purchase from us. Trade accounts (for electricians, integrators, architects, and home builders) are subject to our approval; we may approve, decline, or withdraw trade pricing at our discretion. You agree to provide current, complete, and accurate information for all purchases and accounts, and to update it promptly. You are responsible for keeping your account login confidential and for all activity under your account. Notify us immediately of any unauthorized use.

4. Use of the Site

We grant you a limited, revocable, non-exclusive license to use the Site for personal or internal business purposes related to purchasing from us. You may not:

  • use the Site or our products for any unlawful purpose, or in violation of any law, regulation, or code;
  • infringe our or anyone else’s intellectual property or privacy rights;
  • submit false or misleading information, or impersonate any person or company;
  • upload or transmit viruses or other malicious code, or interfere with or circumvent the security or operation of the Site;
  • scrape, crawl, spider, or harvest data or content from the Site, or collect personal information of others;
  • harass, abuse, defame, or discriminate against anyone, or send spam or phishing messages; or
  • resell or commercially exploit any part of the Site without our written permission.

We may suspend or terminate your access to the Site at any time if we believe you have violated these Terms. We do not guarantee that the Site will be uninterrupted, secure, or error-free, and we may modify or discontinue any part of the Site at any time.

5. Product Information, Errors, and Availability

Product descriptions, specifications, images, compatibility information, and technical data are generally supplied by manufacturers and are provided for convenience. They are not a warranty by us. Colors and finishes may appear differently on screen than in person. We recommend confirming critical specifications (for example, dimensions, voltage, protocol, and compatibility) with us before ordering.

The Site may contain typographical errors, inaccuracies, or omissions relating to descriptions, pricing, promotions, shipping charges, transit times, and availability. We reserve the right to correct any error and to change or cancel orders affected by an error, including after an order has been submitted. If we cancel an order you have already paid for, we will refund the amount paid for the cancelled items.

Products may be offered in limited quantities and may be discontinued at any time. We may limit quantities per order, per customer, or per address.

Smart Home Budget Builder. The budgets, price ranges, and detailed estimates shown by our online Smart Home Budget Builder, and any budget PDF you download from it, are preliminary estimates based on typical room layouts, your answers, and the webshop prices on that date. They are not an offer, a quote, or an order, and they may change. Unless stated otherwise, they do not include electrical installation, shade installation, freight, taxes, or travel. Your exact price is given in a written quote after we review your project.

Switch and keypad designers. The pictures in our online designers (for example for JUNG, Basalte, CORE, Lithoss, and GVS) are previews built from manufacturer photos and drawings. Colors, finishes, and the size and position of engraving may differ slightly from the finished product. Handmade and metal finishes vary from piece to piece.

Prices shown to you. Prices are shown after you sign in. Approved trade accounts see their trade prices. Some brands and products are priced on request for every customer, including trade accounts (currently Basalte and Lithoss); for these we send the price in a written quote. Where the Budget Builder shows such products, the total contains our estimate for them.

6. Orders and Acceptance

Your order is an offer to purchase. An order confirmation email confirms only that we received your order; it is not acceptance. Your order is accepted when we ship the products, or when we confirm acceptance in writing, whichever occurs first. We may accept or decline any order for any lawful reason, including suspected fraud, unauthorized resale, or export concerns.

These Terms apply to every order and prevail over any different or additional terms in a Buyer purchase order or other Buyer document. Those terms are rejected and will not bind us unless an authorized officer of Seller agrees to them in a signed writing. Our shipment of products or performance of services does not mean we accept Buyer’s terms.

Any change to specifications, quantities, destination, or schedule after an order is accepted must be agreed by us in writing and may change the price and delivery date. Cancellations are governed by our Refund & Return Policy.

Quote requests. When you use “Request a quote” in a designer, your setup is sent to us as a quote request. It is not an order and you pay nothing at that point. We reply with the price and the lead time.

Approval of made-to-order and engraved items. Before we order made-to-order, engraved, or labelled items (including all Lithoss products), we may ask you to check and approve your setup in writing, including the layout, finishes, engraving text and symbols, and quantities. We order these items only after we receive your approval and your payment. Engraving and labelling are produced exactly as approved; please check spelling and symbols carefully.

7. Prices and Taxes

Prices are in U.S. dollars and are subject to change without notice until your order is accepted. Written quotes and setup PDFs are valid for thirty (30) calendar days from the date issued unless the quote states otherwise. Obvious clerical, mathematical, or pricing errors are not binding on us.

Prices do not include sales, use, excise, or other taxes, duties, or government charges, or shipping and handling unless stated. Applicable taxes will be added to your invoice unless you provide a valid tax-exemption or resale certificate acceptable to us before the order is invoiced.

Business Buyers agree to keep non-public pricing and quote terms confidential, except as required by law.

8. Payment

Unless otherwise agreed in writing, all orders must be paid in full before shipment. Online orders are payable by the payment methods shown at checkout. By submitting payment, you confirm that you are authorized to use the payment method. Other payments may be made by check, ACH, wire transfer, or another method we approve in writing.

We may require a deposit of up to 100% of the price for special-order, custom, factory-direct, or engraved products, and for services. We order products from the manufacturer once your payment is received, and manufacturer lead times start from that date.

If we extend credit to a Business Buyer, payment is due according to the terms stated on our invoice. Payments on open credit accounts may not be made by credit card or other fee-bearing methods unless we agree in writing. We may apply payments to any open balance. We may suspend performance, change payment terms, or require payment in advance if an account is past due or if we have reasonable concerns about Buyer’s ability to pay.

Past-due amounts bear interest at the lesser of 1.5% per month or the maximum rate permitted by law, from the due date until paid, including after judgment.

9. Shipping, Title, and Risk of Loss

Shipping methods, estimated processing times, and delivery terms are described in our Shipping Policy. Delivery dates are estimates only.

Unless we deliver using our own vehicles or agree otherwise in writing, products are shipped F.O.B. our shipping point, and title and risk of loss pass to Buyer when we deliver the products to the carrier. Even so, we will assist you with carrier claims for loss or damage in transit as described in our Shipping Policy. When we deliver in our own vehicles, title and risk of loss pass upon delivery to Buyer’s designated site. We may make partial shipments and invoice them separately.

10. Inspection; Damage and Shortage Claims

You must inspect all products promptly upon delivery. Claims for visible shipping damage, shortages, or incorrect items must be made in writing (email is sufficient) within three (3) business days after delivery, with your order number and photos of the product, packaging, and shipping label. Claims for non-delivery must be made within ten (10) days after the estimated delivery date we gave you. Claims not made within these periods may be denied, to the extent permitted by law. Details are in our Shipping Policy and Refund & Return Policy.

11. Returns and Non-Returnable Items

Returns require a Goods Return Number (GRN) issued by us in advance and are subject to our Refund & Return Policy, including a restocking fee on non-defective returns. The following are not returnable except when they are defective or we shipped them in error: special-order, custom, made-to-order, engraved, labelled, or personalized products, including all Lithoss products; factory-direct or drop-shipped products; non-catalog items; hazardous-material items; products that have been installed, wired, or programmed; opened software, licenses, or digital products; clearance or “final sale” items; and items shipped outside the United States.

12. Installation, Suitability, and Code Compliance

Many of our products are electrical, lighting-control, building-automation, and shading products. Products that connect to line-voltage power or building systems must be installed by a qualified, appropriately licensed electrician or contractor in accordance with the manufacturer’s instructions and all applicable electrical, building, fire, and energy codes and permit requirements.

Buyer is solely responsible for selecting products suitable for Buyer’s intended use and for confirming compatibility with existing systems. Unless we agree otherwise in writing, we do not perform installation, and we are not responsible for installation, wiring, use, misuse, alteration, or modification of products by Buyer or third parties. We do not certify that any product complies with any particular code, standard, or regulation in Buyer’s jurisdiction; code compliance is the responsibility of the installer and the authority having jurisdiction.

13. Design, Programming, Training, and Other Services

If we provide design, lighting-control design, system programming, commissioning, visualization (including 3D or augmented-reality planning), consulting, or training services (“Services”), the scope, price, and schedule will be set out in a quote or proposal, which is subject to these Terms.

  • Services are performed in a professional manner consistent with generally accepted industry practice. Our designs, layouts, drawings, and recommendations are for product selection and system-planning purposes only. They are not stamped engineering or architectural documents and do not replace the services of a licensed engineer, architect, or electrician where the law requires one.
  • Buyer is responsible for providing accurate information (plans, dimensions, site conditions, existing systems) and for reviewing and approving our designs before ordering. We are not responsible for errors that result from inaccurate or incomplete information provided by Buyer or others.
  • Except for the design deposit described below, deposits for Services are non-refundable once work has begun. Changes to the agreed scope may be billed as additional work. Services that have been performed are not refundable.
  • $500 design deposit. The design deposit offered through the Smart Home Budget Builder starts our detailed design (room-by-room engineering and a firm quote). It is credited toward your SBS design and materials if you go ahead with the project. It is refundable if you ask for a refund in writing within fourteen (14) days of payment and no design work has been delivered to you; after that it is non-refundable. No sales tax is charged on the deposit; applicable taxes are charged on the final invoice.
  • Unless stated otherwise in your quote, our Services do not include electrical installation, cabling, or the mounting of devices on site, which are done by your electrician, or shade installation. Travel for on-site work is charged at actual cost (minimum $500) unless the quote states otherwise.
  • If you buy “materials only,” your own electrician or KNX integrator installs and programs the products; our design, programming, and commissioning are then available as separate, paid Services. Linking a system to Apple Home, Google Home, or Alexa (through Matter) and remote service by SBS are available on request as paid Services.
  • Unless otherwise agreed in writing, we retain ownership of our design documents and programming files. Buyer receives a license to use them for the specific project for which they were prepared, once paid in full.

14. Warranty

Manufacturer warranties. We are a reseller. Products are covered only by the manufacturer’s warranty, if any. To the extent permitted, we pass through to you any manufacturer warranties that are transferable. We will reasonably assist you in making warranty claims, as described in our Refund & Return Policy. Your remedies for defective products are those provided by the manufacturer’s warranty and by our Refund & Return Policy.

Services. For Services, our sole obligation for any Service that does not conform to Section 13 is to re-perform the non-conforming Service, or, if we cannot do so, to refund the fees paid for it, provided you notify us in writing within thirty (30) days after the Service is performed.

Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NO EMPLOYEE, AGENT, OR REPRESENTATIVE MAY MAKE ANY WARRANTY ON OUR BEHALF. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Business Buyers that resell products must pass these warranty terms on to their customers and may not make any warranty on our behalf.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) IN NO EVENT WILL SELLER OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF USE, LOSS OF DATA, DELAY, INSTALLATION OR REMOVAL COSTS, OR COST OF SUBSTITUTE GOODS OR SERVICES, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF FORESEEABLE OR IF WE WERE ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE THAT IS THE SUBJECT OF THE CLAIM.

Any claim against us must be brought within one (1) year after the claim arises, to the extent permitted by law. Nothing in these Terms limits liability for death or personal injury caused by our gross negligence or willful misconduct, or any other liability that cannot be limited under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Seller and its officers, directors, employees, and agents from and against third-party claims, and related losses, damages, liabilities, costs, and reasonable attorneys’ fees, arising from (a) your breach of these Terms, (b) your violation of any law or the rights of any third party, or (c) the installation, use, resale, or modification of products by you or anyone acting for you, except to the extent caused by our own negligence or willful misconduct.

17. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control. These include acts of God, fire, flood, severe weather, epidemic, war, terrorism, civil unrest, government action, tariffs or trade restrictions, labor disputes, carrier or port delays, manufacturer shortages or allocation, and utility or internet failures. Our time to perform will be extended for the duration of the event. If the delay lasts more than sixty (60) days, either party may cancel the affected, unshipped portion of an order, and we will refund any amounts paid for it.

18. Intellectual Property

The Site and its content, including text, graphics, logos, photographs, videos, designs, and software, are owned by us or our licensors and are protected by intellectual property laws. Manufacturer names, product names, and logos are trademarks of their respective owners and are used for identification only. Their use does not imply endorsement. You may not copy, reproduce, distribute, or create derivative works from Site content without our written permission.

Our online tools, including the Smart Home Budget Builder and the switch and keypad designers, their software, rules, and price calculations, are our proprietary tools. You may use them only to plan purchases from us, and you may not copy, decompile, scrape, or reuse them. Manufacturer photos, engraving symbols, and fonts shown in the designers belong to the respective manufacturers and are used only to show their products.

19. Your Submissions

If you send us comments, reviews, ideas, suggestions, photos, or other materials (“Submissions”), you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, edit, publish, and display them in any medium, and we have no obligation to keep them confidential or to pay you for them. You confirm that your Submissions are accurate, do not violate anyone’s rights, and do not contain unlawful, offensive, or malicious content. We may remove any Submission at our discretion.

20. Third-Party Sites and Tools

The Site may link to or integrate third-party websites, tools, apps, or services, such as manufacturer apps, planning tools, payment processors, and our online appointment scheduler (Calendly). We do not control them and are not responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their own terms and privacy policies.

21. Export Compliance

Products may be subject to U.S. export control and sanctions laws. You agree not to export, re-export, or transfer any product in violation of those laws, or to any prohibited country, person, or end use. We do not currently ship outside the United States; any international sale requires our separate written agreement.

22. Safety Information and Product Warnings

Safety Data Sheets (SDS) and safety instructions are prepared by manufacturers. They are available from the manufacturer or from us on request. We do not warrant the accuracy of manufacturer-prepared SDS or instructions. You are responsible for reading and following all product warnings and instructions.

California residents – Proposition 65: Some products may expose you to chemicals, such as lead or DEHP, that are known to the State of California to cause cancer, birth defects, or other reproductive harm. For more information, visit www.P65Warnings.ca.gov.

23. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is part of these Terms.

24. Additional Terms for Business Buyers

The following apply only when Buyer is purchasing for business, commercial, or resale purposes:

  • Buyer confirms that it is solvent and will promptly notify us of any insolvency, bankruptcy filing, or change in ownership or legal form.
  • Buyer waives any right of setoff against amounts owed to us. We may set off amounts Buyer owes us against amounts we owe Buyer.
  • We reserve all mechanic’s lien, materialman’s lien, and similar rights available under applicable law. Nothing in any Buyer document waives those rights unless we sign a specific written waiver.
  • Any Buyer term limiting the time or manner in which we may invoice is rejected.

25. Collection Costs and Attorneys’ Fees

If an amount you owe us becomes past due and is referred for collection, you agree to pay our reasonable costs of collection, including collection agency fees, to the extent permitted by law. In any lawsuit or proceeding arising out of these Terms or any purchase, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs, including on appeal and in bankruptcy proceedings.

26. Governing Law, Venue, and Jury Waiver

These Terms and all purchases are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any lawsuit arising out of or relating to these Terms, the Site, or any product or service must be brought exclusively in the state or federal courts located in Clark County, Nevada. You and we consent to the personal jurisdiction of those courts and waive any objection to venue there. Either party may, however, bring an individual claim in small-claims court if the claim qualifies.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.

Before filing any claim, the party with the claim agrees to notify the other in writing and to try in good faith to resolve it informally for at least thirty (30) days. This does not apply to collection of past-due amounts.

27. Termination

We may terminate or suspend your account, your access to the Site, or any unshipped order immediately if you breach these Terms. You may stop using the Site at any time. Termination does not affect amounts owed or any provision that by its nature should survive, including Sections 8 and 14 through 29.

28. Changes to These Terms

We may update these Terms from time to time by posting a revised version on the Site with a new “Last Updated” date. Changes apply to orders placed and Site use after the change is posted. The version in effect when you place an order governs that order.

29. General

  • Entire agreement. These Terms, the incorporated policies, and any written quote or invoice we issue are the entire agreement between you and us regarding their subject matter and supersede all prior communications. If a quote we sign expressly conflicts with these Terms, the quote controls for that order.
  • Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of the Terms remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms or any claim, including to an affiliate or successor.
  • Electronic communications and notices. You agree to receive communications from us electronically, and electronic communications satisfy any requirement that notices be in writing. Notices to us must be sent to shop@smartbuildingsolutions.us, with a copy by mail to the address below for legal notices.
  • Independent parties; no third-party beneficiaries. Nothing creates a partnership, agency, or employment relationship. There are no third-party beneficiaries of these Terms.
  • Your consumer rights. Nothing in these Terms limits any rights you have as a consumer that cannot be waived or limited under applicable law.
  • Headings. Headings are for convenience only.
